Media Usage Agreement

1. What this agreement covers

This Media Usage Agreement governs photos, images, video, audio, biographical text, logos, and any likeness (collectively, "Media") that you upload, submit, or otherwise provide to Finding Yoga, operated by Trident Partners Co. ("we," "us," or "our").

2. Your representations and warranties

By submitting Media to Finding Yoga, you represent and warrant that:

• You own the Media or have all necessary rights to upload it
• You have obtained written consent from any person whose likeness (face, voice, or other identifying characteristics) appears in the Media
• For minors, you have obtained written consent from a parent or legal guardian
• The Media does not infringe any copyright, trademark, right of publicity, privacy right, or other right of any third party
• The Media does not contain unlawful, harmful, harassing, defamatory, or sexually explicit content

3. License you grant to us

You retain ownership of your Media. By submitting Media to Finding Yoga, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting and display), distribute, publicly display, and publicly perform the Media for the following purposes:

• Operating, displaying, and delivering your teacher website
• Backing up, indexing, and serving the Media through our content delivery network and storage providers
• Promoting Finding Yoga and the directory of teachers, including in previews, marketing materials, social media, and the public teacher directory — provided we credit you where reasonably practicable
• Improving the Service (for example, generating thumbnails or improving search)

This license terminates when you remove the Media from your account or when your account is deleted, except that we may retain backup copies for a reasonable transition period and as required by law.

4. Permission for likeness

You grant Finding Yoga permission to use your name, likeness, and biographical information you submit (such as your photo, teacher bio, and class descriptions) on your teacher website, in the Finding Yoga directory, and in marketing materials about Finding Yoga. You may revoke this permission at any time for future uses by removing the Media or contacting privacy@tridentpartners.co.

5. What we will not do with your Media

• We will not sell or license your Media to unrelated third parties for their own commercial use
• We will not use your Media in a way that endorses a third-party product without your separate written consent
• We will not knowingly use Media in a manner that is misleading or disparages you

6. Removal and takedown

You may remove Media from your account at any time through the Finding Yoga dashboard. If you believe Media on Finding Yoga infringes your rights, please email privacy@tridentpartners.co with the URL of the content and a description of your claim. We will review and respond promptly.

7. Indemnification

You agree to indemnify and hold harmless Finding Yoga and Trident Partners Co. from any claims, damages, or expenses arising from Media that you submit in breach of the representations and warranties in Section 2.

8. Changes to this agreement

We may update this Media Usage Agreement from time to time. The version and effective date above will reflect any changes. Material changes will be communicated to you in advance.
